Object

These General Terms of Use (« GTU ») define the rules of use for:

  • the be-nomad.io website and its subdomains (the « site »).
  • the Nomad software platform (the « Platform » or « Service »), accessible via the web and, where applicable, via mobile application.

The legal identification information of the publishing company (legal form, capital, registered office, RCS, hosting, etc.) is set out in the Legal Notice page, to which reference is made.

The Privacy Policy and Cookie Policy supplement these GTU for everything relating to personal data and trackers.

Scope

These GTU apply to:

  • any visitor to the site.
  • any user of the Platform with an account or access provided by a client (company or organization that is a Nomad client).

Commercial relations (pricing, duration, service level, termination conditions, etc.) are governed by the contract or commercial terms concluded between ARDAN HOLDING and the client, which prevail between these two parties in case of contradiction with the GTU on purely contractual elements.

Showcase website

The website aims to present:

  • Nomad's features.
  • offers and deployment methods.
  • informational content (articles, resources, contact or demo request forms).

This information is provided for guidance only and may change. It does not constitute a firm contractual offer.

Nomad Platform

The Nomad platform is a B2B solution for workspace and presence management. Depending on the configuration and offer subscribed by the client, it may include in particular:

  • management of user accounts linked to a client.
  • booking of workstations, meeting rooms, phone booths or similar spaces.
  • declaration, consultation and visualization of presence (on-site, remote work, leave, absence, etc.).
  • internal messaging / chat functionality between users.
  • dashboards and indicators for client administrators and managers.

Nomad may evolve the service (addition, modification, removal of features) for technical, legal, security or ergonomic reasons, in compliance with the contract concluded with the client.

Acceptance of GTU

Access to and use of the website and/or platform implies unreserved acceptance of these GTU by the user.

This acceptance is evidenced in particular by:

  • browsing the site.
  • creating an account or activating access.
  • logging into the platform.
  • checking an acceptance box during registration or access.

If the user does not accept the GTU, they must refrain from using the site and platform.

The client undertakes to bring the GTU to the attention of its users and to ensure they are respected.

Access to the site and platform

Technical conditions

The user acknowledges having the necessary means to access the site and platform:

  • recent computer or mobile equipment.
  • stable Internet connection.
  • recently updated web browser.

The user must ensure that their environment (system, browser, antivirus, firewall) is kept up to date and secure.

Platform access

Platform access is reserved for:

  • clients who have subscribed to a Nomad offer.
  • users authorized by these clients (employees, collaborators, service providers, etc.).

The user acknowledges:

  • that they are acting in a professional context.
  • that they are authorized by the client to use the platform.

Availability

Nomad implements reasonable means to ensure continuous service accessibility, subject to:

  • scheduled or urgent maintenance operations.
  • technical constraints.
  • force majeure cases or events beyond Nomad's reasonable control.

No absolute availability or performance is guaranteed.

User accounts

Creation

An account may be created:

  • by the user via an invitation link or registration form.
  • by a client administrator, who then invites the user to activate their account.

Information provided when creating the account must be accurate, complete and regularly updated.

Credentials

Credentials (email address, password, or any other authentication method) are strictly personal and confidential.

The user undertakes to:

  • not share them with third parties.
  • take all reasonable measures to preserve their confidentiality.
  • inform Nomad and/or their internal administrator immediately in case of suspected unauthorized access to their account.

Nomad may impose minimum security rules (password length/complexity, periodic renewal, etc.).

Suspension and deletion

Nomad and/or the client may suspend or deactivate a user account, in particular in case of:

  • non-compliance with these GTU.
  • fraudulent, abusive or malicious use.
  • termination of the contract between ARDAN HOLDING and the client.

Deletion of an account does not imply immediate deletion of all associated data, which remains governed by the Privacy Policy and the contract concluded with the client.

Usage rules

User obligations

The user undertakes to:

  • use the site and platform in compliance with applicable laws and regulations.
  • respect the instructions, settings and internal rules of the client (particularly regarding remote work, presence, confidentiality).
  • not disrupt the service operation (intrusion attempts, overload, circumvention of security measures, etc.).
  • not introduce content or data that are: illegal, defamatory, insulting, discriminatory, hateful, violent, obscene. infringing on privacy or third-party rights. contrary to public order.

Messaging / chat

Messaging or chat features must be used in a professional and respectful context.

The user is prohibited in particular from disseminating:

  • insulting, discriminatory, harassing, defamatory statements.
  • pornographic, violent content or content inciting hatred.
  • confidential information without authorization.

Nomad does not perform systematic moderation of exchanges. However, in case of reporting by the client or serious indications of manifestly unlawful use, Nomad may:

  • restrict access to certain content.
  • suspend or close a user's access.
  • cooperate with the client or competent authorities.

Usage consistent with purpose

The service must be used solely for the client's professional needs regarding space and presence management.

The following are prohibited, except with prior written agreement from ARDAN HOLDING:

  • resale, rental, loan or making the service available to third parties outside the client's scope.
  • using the platform as generic storage for files or data unrelated to its purpose.

Role of client and Nomad

Client

  • manages authorizations and rights of its users (creation, modification, deletion, roles, access scope).
  • defines internal usage rules (presence, remote work, office occupancy).
  • remains responsible for compliance of its processing with labor law, GDPR, and any applicable regulations.

Nomad is not responsible for how the client interprets or uses data from the platform to make internal decisions.

Nomad

  • provides the platform in SaaS mode under the conditions provided in the contract with the client.
  • ensures reasonable corrective and evolutionary maintenance of the service.
  • implements appropriate technical and organizational security measures, described in the Privacy Policy and/or technical documentation.

ARDAN HOLDING does not act as HR advisor, nor as legal, tax or social advisor. Operational or HR decisions made from data provided by Nomad are solely the client's responsibility.

Intellectual property

The site, platform, their general structure, graphic, textual, software, database elements and, more broadly, all elements protected by intellectual property rights are the property of ARDAN HOLDING or its partners.

Subject to usage rights granted to the client and users, no intellectual property right is transferred to the user.

Any reproduction, representation, adaptation, translation, modification, distribution or extraction, in whole or in part, not expressly authorized in writing by ARDAN HOLDING, is prohibited and may constitute an act of infringement.

Data and content that the client and users enter into the platform remain their property. The client grants ARDAN HOLDING, for the duration of the contract, a non-exclusive, worldwide and free license to host, store, backup and process this content solely for:

  • providing the service.
  • ensuring security, maintenance and improvement of the platform, including through aggregated and anonymized statistics.

Personal data and cookies

Personal data processing implemented via the site and platform, as well as the use of cookies and trackers, are described in:

  • the Privacy Policy,
  • the Cookie Policy,

to which reference is made for details of purposes, legal bases, data subject rights, retention periods, recipients and methods of exercising rights.

In case of contradiction between these GTU and the Privacy Policy on points relating to personal data, the Privacy Policy prevails.

Liability

Nature of service

The service is provided « as is » and « depending on its availability ».

ARDAN HOLDING does not guarantee:

  • complete absence of bugs, errors or interruptions.
  • adequacy of the service to all specific needs of the client.
  • accuracy of data entered by users or configured by the client.

ARDAN HOLDING strives to correct significant malfunctions within reasonable timeframes after their identification.

Limitation

In the context of platform use, ARDAN HOLDING's liability can only be engaged in case of proven fault directly attributable to ARDAN HOLDING.

ARDAN HOLDING cannot be held liable for:

  • indirect or immaterial damages (loss of opportunity, loss of contract, loss of revenue, damage to image, etc.).
  • consequences of choices and decisions by the client based on data or analyses provided by the platform.
  • damages resulting from non-compliance with GTU by a user or the client.
  • damages resulting from a case of force majeure or an event beyond its reasonable control.

Any applicable compensation caps between ARDAN HOLDING and the client are defined in the contract concluded between them.

GTU modifications

ARDAN HOLDING may modify these GTU at any time, in particular to:

  • take into account service evolution.
  • comply with legal or regulatory developments.
  • integrate technical or security adjustments.

The version in force is the one whose update date appears in the header.

When the modification is substantial, ARDAN HOLDING may inform the client by any appropriate means (notification in the platform, email to administrators, etc.).

Use of the service after the update constitutes acceptance of the modified GTU.

Duration – Termination

The GTU apply for the entire duration of use of the site and/or platform by the user.

Termination or non-renewal of the contract binding ARDAN HOLDING to the client results, in principle, in deactivation of access associated with that client.

ARDAN HOLDING may suspend or close a user's access in case of serious or repeated violation of the GTU, without prejudice to any recourse against the client according to the contract.

Applicable law – Competent jurisdiction

These GTU are governed by French law.

In the absence of amicable settlement within a reasonable time, any dispute relating to the validity, interpretation or execution of these GTU, and more broadly to the use of the platform, will be submitted to the competent courts of the jurisdiction of the Paris Court of Appeal, subject to mandatory legal provisions or a specific clause in the contract concluded with the client.
